Individual Professional Investor Declaration
Definition of Professional Investor
“Professional Investor” is defined in section 1 of Part 1 of Schedule 1 to the Securities and Futures Ordinance. It includes specified entities set out in paragraphs (a) to (i) of the definition (e.g., banks and insurance companies) and persons belonging to a class which is prescribed under the Securities and Futures (Professional Investor) Rules (“Professional Investor Rules”) (paragraph (j) of the definition).Professional Investor includes Individual Professional Investor falling under section 5 of the Professional Investor Rules.
Risks and consequences of being treated as an Individual Professional Investor
Being treated as an Individual Professional Investor, pursuant to the Code of Conduct for Persons Licensed by or Registered with the SFC (the “Code”), the following requirements will be dis-applied:
The need to inform the client about the licensed or registered person and the identity and status of its employees and others acting on its behalf (paragraph 8.1 of the Code); and
The need to confirm promptly with the client the essential features of a transaction after effecting a transaction for a client (paragraph 8.2 of the Code).
Client Declaration
I hereby give my consent to be treated as an Individual Professional Investor by OKX Hong Kong FinTech Company Limited ("OKX HK") and confirm each of the following:
I have been provided with (i) definition of Professional Investor, and (ii) risks and consequences of being treated as an Individual Professional Investor. I have been invited to take independent advice if I wished.
I have agreed to be treated as a Professional Investor and been informed about the right to withdraw from being treated as a Professional Investor whether in respect of all products or markets or any part thereof.
I have a portfolio of not less than 8 million HKD and will continue to fulfill the requisite requirements under the Professional Investor Rules.
I undertake to inform OKX HK promptly if any information I have provided to OKX HK ceases to be accurate or changes in any other way and I undertake on demand to provide OKX HK with such evidence as required in support of my qualification as a Professional Investor.
I undertake to provide OKX HK with an annual confirmation and the relevant supporting documents to ensure that I continue to fulfill the requisite requirements of being treated as a Professional Investor under the Professional Investor Rules. If I fail to provide such information to OKX HK before each anniversary of my account opening date, I acknowledge that OKX HK shall have the right at any time to stop treating us as a Professional Investor.
